These Terms of Service ("Terms") govern access to and use of all offerings from A Kirilyuk LLC("we", "us", "our"), including the VoiceTherewebsite, marketing pages, waitlist, documentation, and — when you have an account — our cloud software as a service platform (collectively, the "Service"). The Service is operated at https://app.voicethere.dev and related domains we designate.
By browsing the site, joining a waitlist, creating an account, deploying code, clicking "I agree", or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes the organization.
1. Eligibility
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. You represent that all registration information is accurate and that you will keep it current.
2. Description of the Service (software as a service)
VoiceThere is a hosted software-as-a-service platform for building and operating real-time voice, multiplayer, and other interactive applications. Depending on your plan and configuration, the Service may include:
- A web dashboard, control-plane APIs, CLI tools, and developer packages for managing organizations, projects, billing, and configuration
- Upload, build, and deployment of your custom application code (for example voice agents, multiplayer game logic, and related services) to our managed runtime environment
- Hosting and execution of that deployed code on infrastructure we operate, including scaling, routing, and lifecycle management of your workloads
- Managed real-time connectivity for sessions, including WebRTC signaling, media paths, session provisioning, and related platform services we provide
- Optional platform capabilities such as speech, metering, logging, and integrations with third-party providers
- Public website content, product information, documentation, and waitlist or early-access programs
You provide your code, configuration, credentials for any third-party services you choose, and compliance with laws applicable to your use case. We provide the hosted platform, operational infrastructure, and interfaces described above — not your application logic, business outcomes, or end-user relationships unless expressly agreed in writing.
We may add, change, limit, or discontinue features, regions, capacity, or supported runtimes at any time. Documentation and marketing materials describe the Service in general terms and do not create additional warranties or service-level commitments unless set out in a separate signed agreement.
3. Beta / early access
Unless we state otherwise in writing, the Service is offered on an early-access, preview, or beta basis. Features, pricing, limits, and availability may change without notice. We may accept, limit, or terminate accounts at our sole discretion.
4. Service availability and disclaimers
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We work to keep VoiceThere reliable and apply reasonable operational practices, but we do not guarantee uninterrupted, error-free, or timely operation. The Service, your deployments, and hosted workloads may experience downtime, defects, latency, or capacity limits. We do not guarantee specific uptime, performance, latency, or outcomes from voice, WebRTC, real-time multiplayer, AI, or custom code running on the platform.
5. Your responsibilities
You agree to:
- Comply with applicable laws and these Terms
- Protect your credentials, API keys, secrets, and account access
- Ensure your custom code, agents, and integrations are lawful, properly licensed, and safe to run in a multi-tenant hosted environment
- Obtain all consents and provide all notices required for audio, recordings, personal data, telecommunications, and AI use in your jurisdiction
- Not upload malware, infringing content, unlawful material, or code designed to harm our systems or other customers
- Monitor your usage, deployments, and end users; you are responsible for activity under your account and API keys
6. Acceptable use, security, and abuse
You must use the Service only for lawful purposes and in accordance with these Terms. Without limiting the foregoing, you promise and agree that you will not, and will not permit others to:
- Attack, exploit, probe, scan, or attempt to gain unauthorized access to the Service, our networks, infrastructure, other customers' workloads, or any systems connected to the Service
- Interfere with or disrupt the integrity or performance of the Service (including denial-of-service, excessive automated requests, or circumventing rate limits, authentication, or isolation controls)
- Reverse engineer, decompile, or attempt to extract source code from the Service except where prohibited restrictions cannot be waived by law
- Use the Service to distribute malware, conduct fraud, send unlawful robocalls or spam, or violate export, sanctions, or telecommunications rules
- Mine cryptocurrency or run unrelated compute workloads on resources we provide for voice, multiplayer, and agent hosting
We may monitor use of the Service for security, abuse prevention, and operations. If we reasonably believe you have violated this section or pose a risk to the Service or others, we may, without prior notice and without liability: investigate the activity; suspend or terminate your account, subscriptions, and deployments; block IP addresses or API keys; remove or disable your hosted code; cancel your contract or paid plan (except where refunds are required by law or granted under Section 8); and permanently ban you and your organization from using the Service. These remedies are in addition to any other rights we have under these Terms or applicable law.

7. Third-party services
The Service may integrate third-party providers (hosting, speech, payments, identity, analytics). Your custom code may call external APIs using credentials you supply. We are not responsible for third-party products, outages, or their terms. Your use of optional third-party integrations is at your own risk.
8. Fees, subscriptions, and refunds
Paid plans, usage metering, and billing terms are described on the Service or in order forms. We may change pricing with notice when practicable. Non-payment or chargebacks may result in suspension or termination under Section 10.
Refunds. If you are a paying customer and experience issues with the Service, you may contact us to request a refund. Eligibility depends on the individual circumstances and is reviewed case by case; we do not guarantee refunds, but we will consider eligible requests in good faith. Any refund or credit we grant is at our discretion unless required by applicable law. In no event will any refund or credit exceed the subscription fees you paid us for one (1) billing month of your active paid plan immediately before your request (or, if you pay annually, one twelfth of the annual fee for that billing period).
9. Intellectual property
We retain all rights in the Service, platform software, branding, and documentation. You retain rights in your agents, code, and content. You grant us a worldwide, non-exclusive license to host, store, reproduce, process, transmit, display, and execute your content and code solely as necessary to operate the Service (including running your deployments on our infrastructure). You represent that you have all rights needed to grant this license.
10. Suspension and termination
We may suspend or terminate access immediately for violation of these Terms (including Section 6), risk to the Service or other users, non-payment, or legal requirements. Upon termination, your right to use the Service ends; we may delete or disable hosted deployments and data after a reasonable period, subject to applicable law and our data retention practices. You may stop using the Service at any time. Sections that by nature should survive termination will survive.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE TO YOU FOR ANY LOSSES, DAMAGES, CLAIMS, OR LIABILITY OF ANY KIND ARISING FROM OR RELATED TO THE SERVICE, YOUR HOSTED CODE, YOUR DEPLOYMENTS, OR THESE TERMS — WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES — WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE SUBSCRIPTION FEES YOU PAID US FOR ONE (1) BILLING MONTH OF YOUR ACTIVE PAID PLAN IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR, IF YOU PAY ANNUALLY, ONE TWELFTH OF THE ANNUAL FEE FOR THAT BILLING PERIOD). THIS IS THE MAXIMUM REIMBURSEMENT WE MAY OWE YOU FOR ANY CLAIM — INCLUDING ANY REFUND OR CREDIT UNDER SECTION 8 — AND WE ARE NOT RESPONSIBLE FOR ANY AMOUNT BEYOND THAT CAP EXCEPT WHERE APPLICABLE LAW REQUIRES OTHERWISE.
12. Indemnification
You will defend, indemnify, and hold harmless us and our affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your hosted code and agents, your content, your end users, or your violation of these Terms or applicable law.
13. Dispute resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Exclusive venue for disputes will be the state or federal courts located in Delaware, and you consent to personal jurisdiction there. You waive any right to participate in a class action to the extent permitted by law.
14. Changes
We may update these Terms by posting a new version and updating the version identifier. Material changes may require you to accept the updated Terms before continued use of the dashboard, APIs, CLI, or hosted deployments.
